Kaption AI Terms and Conditions

Agreement to Terms

By accessing and using Kaption AI's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

Service Eligibility:

• You must be at least 18 years old to use our services
• You must have the legal capacity to enter into contracts
• You must comply with all applicable laws and regulations

Service Modifications:

Kaption AI reserves the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our services.

Apps & Extension License

The Kaption browser extension (Chrome, Edge, Firefox) and the Kaption apps for macOS, Windows, iOS/iPadOS and Android provide AI-powered transcription, translation and summarization features for individual users. These Terms apply equally to all of them.

Extension Restrictions:

• No modification or redistribution of the extension
• No reverse engineering or code extraction
• No use for automated or bulk processing
• Compliance with browser store policies
• No removal of attribution or branding

Analytics and Data:

The extension collects anonymous usage analytics to improve service quality. No personal message content is collected or stored. Analytics data is aggregated and used solely for service improvement and debugging purposes.

Connecting AI assistants

You may connect MCP-compatible AI assistants to Kaption. This access is off by default, you enable it yourself, and you can revoke it at any time.

• You remain responsible for the assistants you authorise and for any content they draft on your behalf.
• Assistants cannot send messages — drafts are staged in your compose box and you review and send them yourself.
• Automated use must respect WhatsApp's own terms. You must not use MCP access to send bulk or unsolicited messages.
• We may rate-limit or suspend MCP access to protect the service, your account, or other users.

Subscription Plans

Kaption AI offers various subscription plans with different features and pricing tiers. Paid plans may include specific terms that supplement or modify these general terms.

Payment Methods:

• Credit cards (Visa, MasterCard, American Express)
• Debit cards with major network logos
• Digital wallets (where available)
• Enterprise billing options for qualified businesses

Plan-Specific Terms:

Different subscription plans may have varying terms and conditions:

• Free Plans: Basic features with analytics collection
• Business Plans: Enhanced features with priority support
• Enterprise Plans: Custom terms, SLAs, and dedicated support agreements
• Custom Integrations: Separate agreements may be required for specialized implementations

Refund Policy:

• 30-day money-back guarantee for new subscriptions
• Pro-rated refunds for annual plans within 30 days
• No refunds after 30-day guarantee period
• Refunds processed within 30 business days
• Enterprise plans may have custom refund terms

Account Security

• Maintain confidentiality of account credentials
• Notify us immediately of unauthorized access
• Use strong, unique passwords
• Enable two-factor authentication where available
• Regularly update account information

Prohibited Activities:

• Use of services for illegal or harmful purposes
• Transmission of malicious code or viruses
• Spam, harassment, or abusive communications
• Violation of applicable laws or regulations
• Infringement of intellectual property rights
• Interference with service operations

Content Responsibilities:

You are solely responsible for content you create, store, or transmit through our services. You must ensure all content complies with applicable laws and does not violate third-party rights.

Kaption AI Ownership

All intellectual property rights in Kaption AI's services, software, and content are owned by Kaption AI LLC.

Our Rights:

• Software, algorithms, and AI models
• Brand names, trademarks, and logos
• Service designs and user interfaces
• Documentation and training materials
• Proprietary technology and processes

User Content Rights:

You retain ownership of content you create or upload to our services. You grant us a limited license to use, process, and store your content solely to provide the services to you.

Usage Restrictions:

• No copying or redistribution of our proprietary materials
• No use of our trademarks without explicit permission
• No creation of derivative works from our software
• No extraction or use of our AI models or algorithms

Indemnification

You agree to indemnify, defend, and hold harmless Kaption AI LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:

• Your access to or use of our services
• Your violation of these Terms and Conditions
• Your violation of any third-party right, including any intellectual property, privacy, or confidentiality right
• Any claim that your content caused damage to a third party
• Your use of WhatsApp, Google, or any third-party service in violation of their terms

This indemnification obligation will survive the termination or expiration of these Terms and your use of our services.

Limitation of Liability

To the maximum extent permitted by law, Kaption AI shall not be liable for any indirect, incidental, special, or consequential damages.

Service Disclaimers:

• Services provided "as is" without warranties
• No guarantee of uninterrupted service availability
• AI transcription accuracy may vary
• Third-party service dependencies may affect availability

Governing Law:

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

Dispute Resolution:

• Good faith negotiation for dispute resolution
• Mediation required before legal action
• Jurisdiction limited to Texas courts
• Attorney fees may be awarded to prevailing party

Severability

If any provision of these Terms and Conditions is found to be unenforceable, invalid, or illegal, such provision shall be modified to the minimum extent necessary to make it enforceable, valid, and legal while preserving its original intent. If such modification is not possible, the affected provision shall be severed from these Terms. In either case, the remaining provisions of these Terms shall remain in full force and effect without modification.

Entire Agreement & Enterprise Precedence

These Terms and Conditions, together with our Privacy Policy and any supplemental terms for specific products or services, constitute the entire agreement between you and Kaption AI LLC.

Force Majeure

Kaption AI shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

• Acts of God (earthquakes, floods, hurricanes, etc.)
• War, terrorism, civil unrest, or armed conflict
• Government actions, laws, regulations, or embargoes
• Strikes, lockouts, or other labor disputes
• Failures of third-party service providers (WhatsApp, Google, cloud hosting)
• Power outages, internet failures, or telecommunications failures
• AI model failures or data center outages

Assignment

You may not assign, transfer, or delegate these Terms or any of your rights and obligations hereunder without the prior written consent of Kaption AI LLC. Kaption AI may, without restriction, assign, transfer, or delegate these Terms and any of our rights and obligations hereunder to any third party, including in connection with a merger, acquisition, reorganization, or sale of assets.

Waiver

No failure or delay by Kaption AI in exercising any right, power, or remedy under these Terms shall operate as a waiver. Any waiver by Kaption AI of any provision must be in writing and signed by an authorized representative to be effective.

Class Action Waiver

To the maximum extent permitted by law, you agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit against Kaption AI.

Terms Modifications:

We reserve the right to modify these Terms at any time. For material changes, including pricing updates, we will provide 30 days' notice before changes take effect. Security or legal updates may take effect immediately. Your continued use of our services after the notice period constitutes acceptance of modified Terms.
